These Terms and Conditions (”Terms”) govern your use of the Ralee website, Chrome extension, and related services (collectively, the “Service”) provided by Ralee, Inc. (”Ralee”, “we”, “us”, or “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Eligibility and Use of the Service

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

• You agree to use the Service only for lawful purposes and in accordance with these Terms.

You may not:

• Violate any applicable laws, regulations, or third-party rights.

• Reverse-engineer, decompile, or attempt to gain unauthorized access to the Service.

• Interfere with or disrupt the Service or its security features.

• Use the Service to transmit spam, malware, phishing links, or illegal content.

2. Email Communications, Consent & Anti-Spam Compliance

• You may only send emails to recipients who have given explicit, verifiable consent to receive communications from you.

• Purchased, rented, scraped, or third-party contact lists are strictly prohibited.

• All marketing emails sent via the Service must comply with applicable anti-spam laws, including CAN-SPAM (USA), GDPR (EU), UK PECR, and any other relevant regulations.

• All email campaigns must include a visible and functional unsubscribe link. You may not remove, disable, or hide unsubscribe functionality.

• Ralee reserves the right to monitor email sending practices for compliance and may suspend accounts found in violation of these rules.

3. Account Registration and Security

• Certain features require creating an account. You agree to provide accurate, complete, and current information.

• You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

• If you suspect unauthorized access, you must notify us immediately at support@ralee.co.

4. Subscriptions, Billing, and Refunds

• Paid plans are billed on a subscription basis (monthly or annually) and will automatically renew unless canceled before the renewal date.

• You may cancel at any time through your account settings; cancellations take effect at the end of the current billing cycle.

• Fees are non-refundable except where required by law.

• We may change pricing with at least 30 days’ prior notice.

5. Intellectual Property Rights

• All content, trademarks, and intellectual property related to the Service are owned by Ralee, Inc. or our licensors.

• You are granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose.

• You may not copy, modify, or redistribute any part of the Service without written consent.

6. User Content

• You may submit bug reports, screenshots, recordings, comments, or other content (“User Content”).

• You retain ownership of your User Content but grant Ralee a worldwide, royalty-free, sublicensable license to use, display, and share it as necessary to operate and improve the Service.

• You are solely responsible for ensuring you have the rights to any User Content you upload.

7. Data Collection, Privacy & Third-Party Processing

• Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your data.

• We may use third-party services, including email service providers such as Brevo, to process and send email communications.

• These providers may process subscriber data (e.g., email addresses) solely for the purpose of delivering email campaigns and transactional messages.

• By using the Service, you consent to this processing and to the transfer of data outside your country of residence, in compliance with GDPR, CCPA, and other applicable privacy regulations.

8. Prohibited Uses

You may not use the Service to:

• Send unsolicited, bulk, or deceptive messages.

• Upload purchased, third-party, or non-consent-based contact lists.

• Engage in fraudulent, illegal, or deceptive practices.

• Distribute harmful software, phishing links, or offensive content.

• Violate the privacy or rights of others.

9. Termination

• We may suspend or terminate your account if you violate these Terms, anti-spam requirements, or misuse the Service.

• Upon termination, your license to use the Service ends immediately, and we may delete your account and data, subject to legal obligations.

10. Disclaimers

• The Service is provided “as is” and “as available” without warranties of any kind.

• We do not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

• To the fullest extent permitted by law, Ralee is not liable for indirect, incidental, consequential, special, or punitive damages arising from your use of the Service.

• Our total liability for any claim will not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Ralee, its affiliates, employees, and partners from any claims, damages, or expenses arising from:

• Your violation of these Terms.

• Your misuse of the Service.

• Your non-compliance with anti-spam or data protection laws.

13. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Delaware, USA, unless otherwise required by applicable law.

• Disputes will be resolved exclusively in the courts located in Delaware, unless arbitration is required by law.

• You agree to attempt informal resolution before pursuing legal action.

14. Changes to These Terms

• We may update these Terms from time to time.

• We will notify you of material changes by email or through the Service.

• Continued use of the Service after changes take effect constitutes your acceptance of the new Terms.
